It’s Never Too Late Essay

I’ve always been the student who made decent grades and yet never participated in any extracurricular activities. I danced for a couple of years when I was younger, but as I grew older, I became shy. When I got to high school, I became distracted and my grades starting declining. I knew I had to start joining clubs or be active to have a good resume. I needed a reality check to stop slacking and get serious before it was too late. Finally my junior year came and I had a new attitude. Starting the last week of summer before entering my junior year was volleyball season. At first I was hesitant about playing and I was quite nervous since I’ve never played before. Some of my peers encouraged me to try it and it was the greatest decision I have made in high school. Even though I started playing a sport near the end of my high school career, I don’t regret the route I took. Becoming a student athlete was tough on my schedule but I got acclimated fast. Luckily, my coach was also my math teacher so he was adamant about me being a successful student and athlete. Since I never played a sport I never felt as tired as when I am finish with drills after practice but I kept my grades high. While playing volleyball, I have learned to manage my time wisely. I knew if I had practice until six in the afternoon and there was homework to do afterwards, then there was no time to spare. I now greatly value time management and it has helped me improve in many facets of my life. My outcome of playing volleyball was my greatest achievement in high school. I learned how to schedule my days wisely, be an effective team player and overall better student. It’s true when they say â€Å"your junior year in high school is your hardest year†, but I can say with pride and joy that I overcame that theory. I made the best grades in my first semester in contrast to my academic performance in my freshman and sophomore years. It is now my senior year, I’m playing volleyball again, and hopefully I will be offered many scholarships from different colleges to play this sport.

Management and leadership can often be confused as being the same thing; when in fact, they are not. A manager can often be a good leader, yet a leader doesn’t necessarily have to be a manager. It almost sounds like a riddle, but a leader and a manager can sometimes be the same person; however, they are also two different things. In order for an organization to maintain a healthy organizational culture, there are many things that a leader must take into consideration and demonstrate on a day-to-day basis. With further explanation, it should be clearer and more easily understood. Most people have had some sort of contact with a manager. Managers have the duty of budgeting routines, planning, and dealing with other day-to-day complexities of an organization (Bateman & Snell, 2009). They are to structure the organization, staff it, and monitor activities. Managers are focused on short term goals and how to accomplish them. They try to make safe decisions within their organization and end up concerned with fitting in (Bateman & Snell, 2009). The managers usually give guidance, support, and corrective feedback to their subordinates on a day to day basis. While being a manager is vital to an organization, they are not necessarily true leaders at this point. Leadership has a very different approach in an organization. Leaders have a vision for the future and inspire others to see and follow this vision as well. Leaders attempt to move an organization towards future goals, rather than just focusing on completing day to day goals (Bateman & Snell, 2009). They are trustworthy and honest. They do not follow a structured reaction to different situations; rather, they react differently to every single different situation. They carefully analyze the situation and decide how they should react to it (Bateman & Snell, 2009). They may even end up making decisions that break normal tradition, but is suitable for the occurrence. Leaders have roles and responsibilities in an organization to maintain a healthy organizational culture. Gillikin (2013) states, â€Å"†¦ most organizations cannot afford to have leaders who cannot manage and managers who cannot lead.† (para. 6). In order to maintain a healthy organizational culture, both leaders and managers must work together effectively. Leaders and managers must be honest and loyal to the company  and everyone in it. They must work towards the common goals of the company and be able to motivate others in a positive manner. Leaders must remain an idol for the company’s core values at all times and be the model, teacher, and coach for the organization. Additionally, leaders should also be very knowledgeable of the organization. Everyone is familiar with the Disney Institute. They have been idolized for their friendly atmosphere, professional manner, and their security within their facilities. Their leadership is no different. Disney leaders communicate their core values passionately in a way that makes an emotional connection and motivates action in employees (â€Å"Disney’s Approach to Leadership Excellenceâ€Å"). They are very clear about what they value and seek proactive change while sharing these same core values. The â€Å"Disney’s Approach to Leadership Excellence† website states that Disney leaders engage the cast members by giving them the responsibility, the tools, and the power to strive for excellence. The leaders encourage them to take pride in their performances. It helps to reward the good behavior just as much as leaders discourage the bad behavior. Disney leaders also believe that it is extremely important to remain committed to a goal. It takes day-to-day strategies to keep focus and build momentum in order to achieve long term goals (â€Å"Disney’s Approach to Leadership Excellenceâ€Å"). Lastly, according to â€Å"Disney’s Approach to Leadership Excellence â€Å", â€Å"Disney leaders recognize that the values and behaviors they demonstrate day-to-day will be remembered longer than their accomplishments. With the ability to influence those around them, leaders need to live the values of the organization on a daily basis. Not only does this reveal what they personally value, it provides insight into their character and ensures that their leadership will have a long-lasting, positive impact.† (para. 9). Management and leadership are two different things that can sometimes be the same person. Mangers are not always leaders, but can learn to be leaders in time. There are roles and responsibilities to take into consideration in order to be a leader and also to maintain a healthy organization culture. Some of these include being honest and trustworthy, demonstrating the core values of the organization on a day-to-day basis, and positively and  effectively motivating others. Because of this, boys are seen as more useful than girls because they can partake in the heavy labour. If a family does not get a boy the first time, they have more children until they get one. When a marriage happens the girl goes and lives with her in-laws which provide extra help in the fields. The more sons a family has the more successful it will be. There are also a wide variety of differences between the country and town environment. In the Indian countryside, children are a vital requirement, whereas, in towns children are not needed to do manual labour so the families are smaller. Besides this, in towns medicinal cures are available so fewer children die and parents have an improved chance of keeping themselves and their children healthy. There is a higher infant mortality in the countryside because cures are not available, although, larger families mean more money. If a family has a son they very often move to the cities and send the money they earn to their families in the country. In the city it is harder to afford so many children because food has to be purchased unlike in the countryside. There is however a much decreased infant mortality in the city as a result of accessible remedies. Ghandhigram is a charity established to help children and young mothers in the countryside. 75% of Indias population live in the countryside, where the health service is basically nonexistent. Ghandigram has presented the solution of looking after and concentrating on the health of very young children. A dramatic improvement has been seen already and the situation of children is gradually recovering. As well as health in the countryside, the organisation is also persuading many more mothers to send their children to school. Children are being educated with the incentive of free school meals provided. As a result of this a large proportion of the future generation will be healthy and educated, consequently, good jobs will be obtainable to them. In the villages where the scheme is operating feedback is very positive and Ghandhigram will hopefully create further alterations and enhanced conditions.

Smart Sensor Stick For Blind Information Technology Essay The issue that needed most attention when dealing with problems faced by 90 of blind people in society is lack of sense of direction . Considering this sensitive issue, I have decided to present this report to the company on need-base analysis for Smart Sensor Stick for Blind, based on companys predefined criteria. This design after improvements and modifications would also be able to guide a person to park his car safely. In addition we would test our design against sustainability criteria and core stratifies for set of advantages and disadvantages associated. Specification This project aims to equip a blind person with an audible signal, signaling for an obstacle at a distance. This would give a blind person confidence taking right decisions. A sensor is mounted on the lower end of the stick which could sense an obstacle from a distance. Another sensor could hear the incoming sounds like of a ghastly approaching car and send to microcontroller. Microcontroller send signal to the speaker from where the blind person would hear and small chip on the blinds stick would decide to send an alarm to the person. The same should also be helpful for parking a car with accident based on the critical distance alarm. Design parameters Following are some design considerations in terms of design parameters and assumptions made for use and environment where would be working. Parameters Critical distance: 1 meter for both blind person movement and car parking Alert alarm: the microcontroller should decide and send warning to the blind person before he comes close to one meter of the obstacle. The same is applicable for the car parking guidance. Time period: the warning or alert system should take 1mili second or less for whole operation Cost: the system is very simple and should be very cheap. Modified parameters Design: the design is simple so that a layman is able to handle and operate it very easily. Additional parameters Energy-efficiency: it should meet guidelines of Green IT since it consumes low energy for longer life span. It only consists of low energy consuming sensor Mica2, it is shown in the Figure below and please refer to detail datasheet from the manufacturer Crossbow in the Appendix III (C r o s s b ow Te c h n o l o g y, 2008). For example, should not produce electric shock or sharp edges. Reliability: we had added an extra sensor in the earlier design in order to make it more reliable, in case one fails other take charge. But one is made active other passive in line with energy efficiency design parameter as discussed above. Assumptions Following are underlining assumptions are used in order to better test and use the product in real scenarios. 1 meter is enough distance for a person moving at an average speed to take his decision to safety. The person is not duff so that product is best used, so it works well for people with blindness problem only. The warning distance for parking a car is 2 meter which is sufficient for car being parked at a normal speed. As the improved design would be solar energy supported we suppose that there is abundant supply of sunlight. Description of the Final Design This project aims to provide audible signals to the blind person to direct them to make decisions based on reliable information, so that they are directed to the safe path by avoiding the collisions after equipping them with the above mentioned system. Design description In order to design the above product as shown in the block diagram in Figure 1, we mounted two sensors on the stick (i.e. while stick used by the blind), one on lower end and other on the middle. The similar diagram in provided in the appendix I, as used in another work (Technologies, 2010). This is done primarily to achieve the reliability in case of one of the sensors get fail. This sensor is able to sense the obstacle from 10 meters and sends the signal to microcontroller. After receiving the signal the microcontroller plays an alarm or alert so that person holding the stick comes to know that there is hurdle in front of him and he should change the course until he is able to fine a free way (Rajendra Prasad Mahapatra, 2009). Similarly, this system can be mounted on a car with one sensor in front and other back of the car. Discussion As per detailed analysis and considerations we have find out the current design need improvements. These improvements have been are in the form of previous design modifications and some additional features. These changes will make the final product more reliable, environment friendly, and safe to handle and operate. Recommendations An extra sensor is needed to be added in order to add reliability. Since, failure of device could endanger the person holding it. It wound compromise the energy efficiency, as we suggest making one of sensor in active mode and other in passive. It would take charge of signaling an obstacle as soon then first one fails. The overall modified design would meet the Green IT standards to safe energy and run so be cost effective. It has been noticed that an electronic device during its life time consume more energy-bill than it was used to buy it. It will be operated on two Mica2 (Please refer to the appendix III for datasheet) motes running on single battery and one active at time. The device should be able to handle two modes of operation; namely, blind-mode and parking-mode. It should switch between two modes with just single click of button. The transfer from one mode to another mode is made as transparent as possible. Another important modification in current design is safety procedures so make sure that device safe to be operated by a special person. The device is steel made for durability but with plastic cover to avoid injury. Moreover, since it operates though on small power supply should be eclectic shock proof since it has plastic and rubber cover. Sustainability Sustainability The sustainability in simple words is the, ability of the product to be sustained indefinitely (Design, 2004). Sustainable design The sustainable design can be defined as, The design of system that can be sustained indefinitely. And Sustainable product designed therefore be defined as, the design of the objects and sustainability of the systems in which they operate (Design, 2004). Now, we discuss Sustainability when considered against the primary factors, environmental or eco, financial, and social: Primary sustainability factors Following are three primary factor of sustainable product design: Environmental Sustainability Since bingeing, human have been destroying nature in order to conquer it. However, to achieve sustainability it is essential to accept the fact that human is dependent on the nature for their wellbeing and safety. Without a healthy natural environment, it is impossible to have healthy society and economy. The mistreatment of environment has resulted in a number of consequences that are posing immediate threat to society and economy. According to Edwin Datschefski all materials exist in closed loop systems (cycles), all energy comes from renewable sources (solar), no harmful substances are emitted (safe), and throughout the products life cycle it is no more than 10% of the resources used by an equivalent product in 1990 (efficient). The cyclic and solar system illustrated is illustrated in the Figure 3, as shown on the next page of this report. Environmental Sustainability Figure : the cyclic and solar system illustrated (Design, 2004) Financial Sustainability It is essential for two reasons, one that a businessman would pursue it if it is financially viable and second financial wealth is important for quality of life. However, on contrary they not need to be conflicting (Design, 2004). Carefully designing products within their business, social and environmental systems can result in a solution that have long term financial viability and consistently generate financial profits and wealth. A financially sustainable system has the following characteristics: Consistent revenue by meeting customer customized products Not rely on finite resources Increase profit margin by lowering cost Protect financial wellbeing of customers Not have any significant financial liabilities The following diagram in Figure 4, illustrate the different between a traditional business and a sustainable business. Figure : Business vs sustainable business Social Sustainability Sustainability is about creating and maintaining quality of life for the people, though environmental and social factors are important but they are sources to that end. Social sustainability involves protecting the mental and physical health of all stakeholders, encouraging community, treating all stakeholders fairly, and providing essential services. It is also important that essential services are effectively delivered to everyone who needs them. 10 relevant design strategies You are required to select 10 strategies from this list and outline why you believe each one you choose is relevant to your own final product design. Design business system first In order to make our product sustainable we have to try it in the integration with it business environment where it is to be deployed or used. In order to achieve this we have made certain assumptions about the testing environment. Clarity core function Consumers some time may not buy product for just sustainability function they need the manufacturer to focus on main functionality, some time they could ignore other benefits for the said. We have made sure that our product is good in itself not be sold with providing ice on the cake. Product service systems Typical aim of manufacturing is provide a high value product with low cost, by this often poor value to the customer. PSS is not new idea; it can offer substantial benefits to all the parties involved. This involves offering a service while lending them a product, not losing the ownership and has incentive to maximize product life cycle. Multi-functionalism In designing the product it would reduce product cost. In our system design we have provided with two functions in one product, i.e. blind-mode and parking-mode. Modularization We have taken care of this strategy as our product is designed in a way that it has two modules for two modes of functions and they can easily be fitted together to use either of the functions. Minimize material variety We have not taken care of this strategy since in our product design the two materials are used in manufacturing the product which offer other related benefits. For example, steal is used to made white stick durable and covered it with plastic to make it safe to be used by blind persons to avoid unwanted injuries. Low embodies energy materials All materials have energy consumption cost associated with them during manufacturing. We would use pre-manufactured material in our production of the final product to avoid this. Avoid glass Glass is often thought are environmentally friendly as it could be recycled, non-toxic, and manufactured from natural resources that are abundant. But due to its hardness it is difficult to recycle and inefficient to transport. Renewable energy In our final product design, we have suggested to use small solar panel with the blind stick or car in order to fulfill the green energy criteria. So the product would be self powered so that it make use of other attached benefits such as cost reduction and ease of use. Simplification Since our product is supposed to be used by we have made sure that product is simple enough to handles and maintained by hat person. The design is very simple and a novice can assemble it easily. Contribution to the primary factors In this section we will discuss the advantages and disadvantages associated with above ten strategies in terms of three core strategies such as; economical, financial and social sustainability. Design business system first This strategy would help us deal with the deal with the social sustainability and eco and financial strategy indirectly since it would involve customer to design the product. Clarity core function The products with sustainable strategy are to replace the non sustainable product and manufacturer have the financial benefit but at the cost of paying environmental penalty. It has made sure the social sustainable strategy since it taken care of customers need is met. Product service systems Our product does not involve this service sine it involve increase use of energy and thus compromising other code design issues. Paybacks are slower and customers are tied to the conditions. Multi-functionalism It is eco friendly, since it would reduce the resources use and financially viable since it would increase our product demand. The customer has benefit of increased convenience and value for money. On the other hand drawback is the consumer may buy fewer products. Modularization Our product is eco friendly since it would reduce disposal of the product and by increasing the appeal for our customers they would repeat the business which gives us financial viability. It is social friendly since product has better taken care of customers needs over the life of the product as extended product life would offer good value for the money. It has draw also since increased product life cycle may reduce sales turn over. Minimize material variety It encourages recycling and increases the economy of sale with simplified logistics and reduced end life treatment cost. This could also result in using of inappropriate material leading to inefficiency and earlier disposal. Low embodies energy materials It would be eco friendly since it would reduce energy usage and financially beneficial since materials with low energy usage can be cheaper. Avoid glass It has reduces risk of injury to the waste disposal workers so is socially sustainable. Has financial benefit since it has reduced transport cost. And eco friendly as it avoid damage to the recycling facilities. The one environmental drawback is that its substitutes are even less desirable. Renewable energy It is eco friendly as it would discourage fossil fuel energy usage. It would give financial benefits as improved functionality would increase its demand. It is socially sustainable since product is mobile and never run out of battery. The disadvantages are increased units cost but are cheap in the long term usage. And product can be more bulky. Simplification The product would run longer and reduces waste and cost. Financial appeal is that it would reduce; development, manufacturing, and assembly costs. Socially sustainable since it is easy to be used by the bind person and made easier to meet our customers demand. The cons are that simplification may reduce functionality and efficiency. Financially simple products may be perceived as less valued. And social drawback is that simple products may be less capable of handling individual need. In our final design we have tried to lower the impact of related disadvantages of this strategy in order to increase the advantages. Conclusion We have studied the current designed according to the companys set criteria and suggested our modification and additions to make product more efficient and reliable. We have given our recommendations for new design and evaluated it against some sustainability strategies for its advantages and disadvantages and why the certain important design considerations were made. We have further evaluated the above ten strategies against financial, economical, and social core sustainable strategies to make use of related benefits it brings to us.

In important respects, the great witch hunts began with the invention of the stereotypical witch in texts by professional demonologists. Prior to the publication of these texts, there was already widespread belief in magic both harmless and malicious. But not until the practice of magic became a religious warfare between God and his enemy the devil did community concerns about the practice of magic evolve into the desperate, sadistic trials that occurred in the 16th and 17th centuries, and the idea that witchcraft was a reality rather than a myth suddenly made a comeback. Trials of individual witches in early modern Europe always began with specific accusations brought against a supposed witch by one or more of her neighbours. When the printing press was invented, writings could be distributed around Europe. The first and most significant written ideas of witchcraft available to a majority of people was the Malleus Maleficarum (Hammer of Witches) written by Sprenger and Kramer in 1486. The document made an important contribution to the widespread witch hunt. Sprenger and Kraemer proclaimed that not believing in the reality of witches was heresy. Sprenger and Kramer informed secular authorities to fight witches by any means necessary. It was followed by other texts that described, often in great detail, the alleged practices of witches, or that outlined the procedures for conducting a trial of a witch. These texts created some of main aspects of wild beliefs of witches that permeated Europe for two centuries: that witches had deviant sex with one another and with the devil, that they interfered in natural reproduction, that they caused death and disease and other natural occurrences such as storms and that they turned away from their Christian faith. In short that they threatened every form of religious and secular order. The Beats As A Counterculture Many of the Beat writers wrote in a style known as spontaneous prose. Allen Ginsberg often writes in this style. He does so in the poem â€Å"Howl† in which he rants and raves about society via his friends – Jack Kerouac, Willaim S. Burroughs, Lawrence Ferlingetti, and Neil Cassidy to name a few, live. He discusses their poverty, civil disobedience, the ways that they fight society, and his personal fight against industrialization; he uses many images in order to allow the reader to understand his lifestyle, the lifestyle of his friends and points of view, specifically their rejection of society. Ginsberg depicts the deprived environment in which he chooses to live in through imagery. For instance the speaker proclaims: â€Å"†¦Dragging themselves through the Negro streets at dawn looking for an angry fix.†(Ginsberg 62) This is a scene depicting an average morning after a night of partying. His friends are trying to make their way back to reality. They search the streets where they have been in Jazz clubs for more drugs so they do not have to â€Å"suffer[ing] Eastern sweats and Tangerian bone grindings and migraines of China under junk-withdrawal†¦Ã¢â‚¬ (Ginsberg 63) Ginsberg is telling of his friend’s addiction and fear of withdrawal. The speaker states: â€Å"†¦Yakketyyakking screaming vomiting whispering facts and memories and anecdotes and eyeball kicks and shocks of hospitals and jails and wars†¦Ã¢â‚¬  (Ginsberg 63) In this passage the speaker of â€Å"Howl† depicts an insane asylum because his mother, himself and many of his friends; specifically Carl Solomon, who the poem is dedicated to, had been admitted or admitted themselves into hospitals.   Ã‚  Ã‚  Ã‚  Ã‚  The Beats were all connected to the reality of poverty. Ginsberg states: â€Å"Who poverty and tatters and hollow-eyed and high sat up smoking in the supernatural darkness of cold-water flats floating across the tops of cities contemplating jazz.†(Ginsberg 62) The obvious image of poverty is when he clearly states â€Å"poverty† but along with this image Ginsberg says â€Å"cold-water flats,† meaning that there was not enough money to have hot water. Another image of poverty is â€Å"who plunged themselves under meat trucks looking for an egg.† They were so desperate for food that they jumped under trucks in search of a single egg. The Beats chose this poverty stricken lifestyle in order to further rej... ...e of a world that no one wants to come. He is using his own version of propaganda to persuade the reader not to support industrialization.. Ginsberg reinforces the second section with the first and third sections. He prepares the reader for a dramatic change from the first to the second section by showing the reader that he is anti-society. By showing that he and his friends are anti-society it is a logical step to say that he is against what society is planning and creating. They are planning and moving toward industrialization. Ginsberg is against industrialization partially for the reason that it is the societal norm to support it. Howl is a poem in which Allen Ginsberg complains about his life and about society. The speaker of the poem describes that he/she and his/her friends reject society and therefore are prone to act in a manner counter to common culture. He explains his points using amazing imagery that allows the reader to see exactly what he/she is writing about. In section two Ginsberg states his complains about industrialization, which was beginning at the time. These ideas are reinforced throughout the poem. I will forever enjoy these rantings and ravings.

Conflict between Individuality and Conformity in The Bell Jar    In Sylvia Plath's novel The Bell Jar, Esther Greenwood seems incapable of healthy relationships with other women. She is trapped in a patriarchal society with rigid expectations of womanhood. The cost of transgressing social norms is isolation, institutionalization and a lost identity as woman. The struggle for an individual identity under this regime is enough to drive a person to the verge of suicide. Given the oppressive system under which she must operate, Esther Greenwood's problems with women stem from her conflict between individuality and conformity.    In formulating my topic, I have relied on Adrienne Rich's book Of Woman Born, as well as Cathy Griggers' essay "Lesbian Bodies in the Age of (Post)mechanical Reproduction." Rich discusses the cultural institutionalization of motherhood, while Griggers brings a Feminist and Marxist perspective to the topic of lesbian body image in a capitalist, market-driven society. Both consider the effects of patriarchy and heterosexism in their treatment of the experience of lesbians in society. I found these texts to be very helpful in offering an explanation of Esther's harsh negative reaction to Joan, as well as in illustrating the anxieties of women in an androcentric, heterocentric, and conformist society.    Esther's fundamental problem with female relationships is best exemplified in her conflict with mothering and mentoring figures. These women defy her desire to be independent and free. Rich describes the tendency toward matrophobia, the fear of becoming one's mother. Question 1 The shares of ABC Limited, a private company are held by Ann and Andy Anderson and Bev and Bob Brown. The Andersons who together hold 90% of the company shares are concerned that the company is in need of further capital but because of family difference, the Andersons are not willing to inject additional funds so long as the Browns are shareholders in the company. They have therefore decided to pass a resolution which will enable the majority acquire compulsorily at full value shares of the minority. Advise Bev and Bob Brown. Bev and Bob Brown my advise to you is that the Anderson being the majority shareholder of ABC Ltd. can remove you Bev and Bob Brown by ordinary resolution of the company in general meeting, and if you Bev and Bob was appointed by the articles you can be removed by a special resolution passed to alter the articles. The Anderson’s decisions being majority shareholder is binding on you the minority shareholder whether you like it or not it is they who control the company ultimately. However Bev and Bob you can take representative action against the Anderson’s for fraud committed against you Bev and Bob as in the case Eastmanco.  Ltd. V Greater London where they stultify the purpose for which the company was formed and deprive you the minority shareholder of your existing prospects of obtaining votes. Being a member of ABC Ltd. you can bring representative action against the Company to protect your personal rights which you Bob and Bev enjoys. There have been a breach of duty owed to you Bob and Bev the minority shareholder cannot be ratified by a majority of shareholders. Question 2 Discuss the rule in Foss V Harbottle The rule in Foss V Harbottle illustrates the principle of majority control and minority protection.  If a wrong is done to the company then the only proper plaintiff to bring an action to redress the wrong is the company itself and not a shareholder or anyone else. Where the minority’s complaint is that some act has been done wrongly, which would nevertheless be lawful if there were an ordinary resolution in general meeting to authorize it, then the court will not interfere at the instance of the minority. The rule places the majority member in a very strong position over the minority as in the case Bamford V Bamford. The rule prevents the company from spending money on litigation to no ultimate purpose if an independent majority does not wish to pursue a claim. The rule may be used by majority shareholders to perpetrate fraud on the minority members especially if the majorities are also directors of the company. The rule is an inevitable consequence of a corporation is a separate legal entity. Therefore, if harm is caused to a company then only the company itself can take legal action. No one else, irrespective of their losses, will have the necessary power to take legal proceedings. Question 3  Dave is minority shareholder in ABC Company Ltd. Andy, Bev and Carol are also major controlling shareholders and in addition, they hold the position of chairman, managing director respectively. Dave is aggrieved that: i. The company has just sold 5 acres of land to Bev’s cousin at half the price the company paid for it ii. The company has recently engaged Andy’s uncle as its marketing director at an annual salary of $5 million. His service contract includes a provision that in the event of his death, his widow shall continue to receive his annual salary by way of pension payment for the rest of her life. Andy’s uncle was in very poor health at the time of his appointment. Andy, Bev and Carol do not admit that anything improper has taken place. Advise Dave on the legality of Andy, Bev and Carol’s action and whether he can bring an action against them. Dave base on the actions of Andy, Bev and Carol you can bring an action against them as in the case Daniels V Daniels. The major shareholders Andy, Bev and Carol owed fiduciary duty to the company and most act in good faith and in the best interest of the company and not in their own interest.
